These principles describe how VerSquare's referral partnership works in practice. This is a good-faith working agreement, not a legal contract. By accepting the partnership, you agree to operate in good faith under these terms.

How Introductions Work
VerSquare connects you with qualified clients and sellers who are actively searching for your services in the small business M&A ecosystem.
- Clients discover you through your VerSquare profile, search results, and content
- They request an introduction via your profile's "Get Connected" button
- We notify you with their details - name, email, service needed, and any context they've shared
- You reach out directly within 1-2 business days. The client is also notified that you'll be in touch
- You decide whether to engage - there is no obligation to accept every introduction
Introductions are curated, not automated. We do not sell leads in bulk or charge per introduction.
What You Pay
- Nothing upfront. No monthly fees. No per-lead charges.
- A referral fee applies only when a VerSquare introduction results in paid business. If an introduction does not convert, no fee applies.
- Rates are set per service type. You will see your rates before you accept the partnership and can propose alternatives.
- Standard rates vary by service category (typically 1-15% depending on the service type and fee basis).
- Attorneys are exempt from referral fees per ABA Model Rule 5.4.
You can propose custom terms for any service from your Referrals dashboard. Our team will review your proposal and may approve, suggest alternatives, or discuss further. We are open to different structures as long as they reflect the value being exchanged.
What Counts as a Referral
A referral is any client or seller we introduce to you through the VerSquare platform. Attribution is tracked through several mechanisms:
- Email Introduction - when VerSquare sends you a client's details to initiate a direct connection
- Tracking Link - when a prospect visits your website via a VerSquare link
- Discount Code - when a prospect uses a VerSquare promo code when engaging you
Attribution Windows
Different introduction methods have different attribution periods:

Revenue Attribution
Once an introduction leads to engagement, any revenue from that client's relationship with you within 12 months of the introduction date is attributable, including repeat business.
After 12 months, the relationship is yours - no ongoing attribution or fees.
Prior Relationships
If you already have a relationship with a client we introduce, you can contest the attribution. We will review the evidence and make a determination. We want to credit introductions that create genuine new connections, not claim credit for relationships that already exist.
How Fees Are Calculated and Paid
- Fees are calculated based on the agreed-upon rate applied to the deal or engagement value
- Reconciliation happens bi-monthly (every two months) as the standard accounting cycle
- Deal-contingent fees - when a referral fee is tied to the successful completion of a deal (e.g., SBA lending, loan brokerage), payment is aligned with the closing of the deal, typically within 30 days of close
- Minimum invoice threshold is $100. Below that, fees accumulate to the next billing period
- We will share data from our tracking systems and coordinate with your designated contact
You may need to report engagements where prospects mentioned VerSquare or used a promo code. We will work with your team to make reporting as simple as possible.
What Happens If Things Change
Pausing
You can pause new introductions for up to 30 days at any time. During a pause:
- No new introductions are sent
- All partner features remain accessible
- Existing referral obligations continue
- The partnership auto-resumes after 30 days
Ending the Partnership
Either side can end the partnership at any time.
- Active introduction chains continue for 90 days after termination. If a deal closes within that window from a prior introduction, the referral fee applies.
- The 12-month revenue attribution window from the original introduction date continues to govern fee obligations on existing introductions.
- A final reconciliation covers all outstanding fees.
Changing Rates
Either party can propose new rates at any time. Rate changes apply only to introductions made after the new rate is accepted - they are never applied retroactively.
What We Commit To
- Sending introductions that match your services - not random leads
- Transparent tracking of all introductions and outcomes
- Fair dispute resolution if attribution is questioned
- Your data stays private - we never share your contact information publicly on the platform
- No hidden fees - you see your rates before you accept, and they do not change without your agreement
Responsiveness
When VerSquare introduces you to a prospect, we expect a response within 2 business days. Timely responses create a strong experience for clients and reflect well on your practice.
If you are unable to take on new work at this time, let us know by pausing introductions from your dashboard. Consistent non-responsiveness may result in reduced introductions.
Good Faith
This partnership operates on good faith. That means:
- If VerSquare sends you a qualified introduction and it leads to business, you honor the agreed-upon terms
- If you have concerns about an introduction or attribution, you raise them through the proper channels
- A failure to operate in good faith - such as receiving introductions and not reporting or paying on closed deals - will result in suspension of referral features and introductions
We want to make it easy for you to sign up and start getting qualified introductions. The good-faith structure exists to reduce friction, not to create ambiguity.
Using Your Own Agreement
If your company prefers to use its own referral agreement template, or if you would like VerSquare to provide a formal legal document, contact partnerships@versquare.com. We can work with your legal team to establish terms that align with both parties' requirements. In the meantime, these principles remain in effect.
