1. Introduction & Acceptance
1.1 Agreement to Terms
References to "VerSquare" throughout these Terms refer to Search Assistant, Inc. and the VerSquare platform and services operated by Search Assistant, Inc.
Welcome to VerSquare ("Platform," "we," "us," or "our"). VerSquare provides an online marketplace and review platform connecting users with Small Business Administration (SBA) lenders and related service providers ("Providers").
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Search Assistant, Inc., a Delaware corporation doing business as VerSquare, with its principal place of business at 6595 Roswell Rd, Suite G #5313, Atlanta, GA 30328 ("Company," "we," "us," or "our").
By accessing, browsing, or using the VerSquare Platform (including our website, mobile applications, and related services), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference.
1.2 Acceptance Mechanisms
You accept these Terms by:
- Creating a VerSquare account
- Accessing or browsing the Platform
- Posting reviews, ratings, or other content
- Using any Platform features or services
If you do not agree to these Terms, you must not access or use the Platform.
1.3 Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by:
- Email to the address associated with your account
- Platform banner or notification
- Update to the "Last Updated" date above
Your continued use of the Platform after notification constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically.
2. Definitions
For purposes of these Terms:
- "Content" means any text, reviews, ratings, photos, videos, comments, messages, or other materials you submit, post, or display on the Platform.
- "Provider" means an SBA lender, financial institution, business broker, or related service provider with a profile on the Platform.
- "Review" means user-generated feedback, ratings, and commentary about Providers.
- "Verified Review" means a Review that has been authenticated through our verification process.
- "Account" means your registered user profile on the Platform.
- "Services" means all features, tools, and functionality provided through the Platform.
3. Eligibility & Account Registration
3.1 Age Requirement
You must be at least 18 years of age to create an account or use the Platform. By using the Platform, you represent and warrant that you meet this age requirement.
3.2 Account Creation
To post Reviews or access certain features, you must create an account by providing:
- Valid email address
- Username (subject to our content restrictions)
- Password
- Such other information as we may reasonably request
3.3 Account Responsibilities
You agree to:
- Provide accurate, current, and complete information
- Maintain the security and confidentiality of your password
- Notify us immediately of any unauthorized access or security breach
- Accept responsibility for all activities conducted through your account
- Maintain only one account per person
- Update your information promptly if it changes
3.4 Account Restrictions
You may not:
- Create accounts using false or misleading information
- Create multiple accounts (one account per person strictly enforced)
- Share your account credentials with others
- Use another person's account without permission
- Create accounts for commercial or promotional purposes (unless registering as a Provider)
- Use automated means to create accounts
3.5 Geographic Eligibility
The Platform is intended for use by individuals and businesses located in the United States. By using the Platform, you represent and warrant that:
- You are located in the United States, or
- You are a U.S. citizen or permanent resident accessing the Platform from abroad, or
- You are accessing the Platform in connection with a U.S.-based business transaction (such as acquiring a U.S. business or obtaining U.S. SBA financing)
We do not target or market the Platform to individuals outside the United States. If you access the Platform from outside the United States, you do so at your own risk and are responsible for compliance with local laws. We reserve the right to limit or restrict access to the Platform from any geographic location at our sole discretion.
We do not knowingly collect personal information from individuals located in the European Economic Area, United Kingdom, or other jurisdictions with data protection laws that would require additional compliance measures beyond those described in our Privacy Policy.
3.6 Username Requirements
Your username must not:
- Violate intellectual property rights
- Impersonate any person or entity
- Include Provider names or promotional content
- Contain offensive, harmful, or inappropriate content
- Violate any provision of Section 5 (Prohibited Content)
4. User-Generated Content
4.1 Content Ownership
You retain ownership of all Content you post on the Platform. However, by submitting Content, you grant VerSquare certain rights as described below.
4.2 License Grant
By posting Content on the Platform, you grant VerSquare a nonexclusive, perpetual, irrevocable, royalty-free, worldwide, fully sublicensable, and transferable license to:
- Use, reproduce, modify, adapt, translate, and create derivative works from your Content
- Distribute, display, publish, and perform your Content
- Incorporate your Content into other works in any format or medium
- Sublicense these rights to third parties, including but not limited to:
- Search engines and web crawlers
- API partners and integration services
- Syndication partners
- Marketing and promotional partners
This license includes the right to use your Content without payment or attribution for purposes including but not limited to:
- Platform operation and display
- Marketing and promotional activities
- Analytics and research
- Training machine learning models for fraud detection and content moderation (internal use only)
Important: This license survives termination of your account for Reviews and Content published while your account was active.
4.3 Content Representations & Warranties
By posting Content, you represent and warrant that:
- You own or have necessary rights to the Content
- Your Content does not violate any third-party rights (intellectual property, privacy, publicity, etc.)
- Your Content complies with all applicable laws and regulations
- Your Content does not violate these Terms
- You have obtained all necessary permissions for any persons depicted in photos or videos
4.4 No Compensation
You acknowledge and agree that you will receive no compensation, royalty, or payment for our use of your Content under the license granted above.
5. Prohibited Content & Conduct
You agree not to post Content or engage in conduct that:
5.1 Fraudulent or Deceptive Content
- Contains false, misleading, or fraudulent information
- Is not based on your genuine, first-hand experience
- Is posted in exchange for compensation, discounts, refunds, incentives, or any form of benefit
- Is AI-generated or created by automated means
- Plagiarizes or copies content from other sources
- Represents experiences of third parties rather than your own
- Is posted on behalf of others or at another's request (except honest recommendations)
5.2 Harmful Content
- Threatens, harasses, bullies, or intimidates any person
- Contains hate speech or discriminates based on race, ethnicity, national origin, religion, gender, sexual orientation, disability, or other protected characteristics
- Promotes violence or illegal activities
- Contains obscene, pornographic, or sexually explicit content
- Exploits, harms, or attempts to exploit or harm minors
5.3 Privacy Violations
- Discloses personal information of others without consent (names, addresses, phone numbers, email addresses, Social Security numbers, etc.)
- Posts photos or videos of others without their permission
- Violates anyone's privacy or publicity rights
- Exception: Information that is already publicly available may be referenced
5.4 Defamatory Content
- Contains false statements that harm someone's reputation
- Makes accusations of criminal conduct without factual basis
- Maliciously misrepresents facts about Providers
5.5 Promotional & Commercial Content
- Promotes your own business, products, or services
- Contains advertising, marketing, or promotional material
- Includes affiliate links, referral codes, or promotional discounts
- Solicits business or customers
- Promotes competitors of the reviewed Provider
- Exception: Genuine comparisons based on experience are permitted
5.6 Political & Religious Content
- Contains political or religious content unrelated to your Provider experience
- Uses the Platform to promote political candidates or causes
- Exception: Relevant mentions directly related to service experience are permitted
5.7 Off-Topic Content
- Is unrelated to the Provider being reviewed
- Reviews the wrong Provider
- Discusses matters unrelated to the service experience
5.8 Platform Integrity Violations
- Attempts to manipulate ratings, rankings, or search results
- Engages in "review bombing" or coordinated negative campaigns
- Posts duplicate reviews of the same Provider (one review per Provider allowed)
- Attempts to circumvent our fraud detection systems
- Scrapes, data mines, or harvests Content from the Platform
- Uses the Platform Content to train AI or machine learning models (except as explicitly permitted)
- Reverse engineers, decompiles, or disassembles any Platform software or systems
- Introduces viruses, malware, or other malicious code
- Attempts to gain unauthorized access to any Platform systems
5.9 Intellectual Property Violations
- Infringes copyrights, trademarks, patents, or other intellectual property rights
- Uses copyrighted images, text, or other content without permission
- Misuses Provider logos, trademarks, or branding
5.10 Abuse of Platform Features
- Abuses the flagging system (malicious or false reports)
- Engages in mass flagging campaigns
- Attempts to manipulate our moderation systems
- Uses the Platform to harass Providers or other Users
6. Review Guidelines & Authenticity
6.1 First-Hand Experience Requirement
All Reviews must be based on your genuine, first-hand experience with the Provider. You must:
- Have actually used or attempted to use the Provider's services
- Describe your own experience, not hearsay or third-party accounts
- Base your Review on actual interactions with the Provider
6.2 Recency Requirement
Reviews should reflect recent experiences, generally within the past 24 months. We may remove Reviews based on experiences older than 24 months at our discretion.
6.3 Factual Accuracy
Your Reviews should be factual and accurate to the best of your knowledge. You should:
- Clearly distinguish between facts and opinions
- Provide specific details about your experience
- Avoid exaggeration or hyperbole
- Update your Review if circumstances change
6.4 Professional Tone
While we encourage honest feedback (including negative experiences), Reviews should:
- Maintain a professional and respectful tone
- Focus on the service experience rather than personal attacks
- Avoid profanity and obscenity
- Not include threats or intimidation
6.5 Prohibition on Incentivized Reviews
You must never post Reviews in exchange for:
- Payment or compensation of any kind
- Discounts, refunds, or rebates
- Free products or services
- Entry into contests, prize draws, or giveaways
- Preferential treatment or benefits
- Any other form of incentive or benefit
This prohibition applies regardless of whether the Review is positive or negative.
6.6 No Review Gating
Providers may not engage in "review gating" (selectively soliciting only positive Reviews). If you become aware of such practices, please report them to us.
6.7 Disclosure Requirements
If you have any of the following relationships with a Provider, you must disclose it in your Review:
- Current or former employee
- Business partner or affiliate
- Competitor
- Family member of owner/employee
- Financial interest in the company
- Any other material connection
6.8 Review Verification
We may request verification of your experience with a Provider, including:
- Email confirmation of your Provider relationship
- Documentation of transactions (loan applications, closing documents, correspondence)
- Provider confirmation of your client status
- Other reasonable verification methods
Your cooperation with verification requests is appreciated but not mandatory. However, unverified Reviews may be labeled as such, given less weight in calculations, or removed if contested as invalid.
7. Provider Listings & Verification
7.1 Platform Role
VerSquare operates as a marketplace and information platform. We are not:
- A lender, broker, or financial services provider
- A party to any transactions between Users and Providers
- An agent or representative of any Provider
- A guarantor of any Provider's services or qualifications
Providers who claim or manage their listing may be required to agree to additional Provider Terms of Service governing their use of Provider-specific features.
7.2 Provider Verification
We conduct initial verification of Providers, which may include:
- SBA lender license verification
- Business registration confirmation
- Professional credential verification
- Compliance history review
However, we do not:
- Guarantee the accuracy, completeness, or currency of Provider information
- Verify ongoing compliance with licensing requirements
- Endorse or recommend any Provider
- Guarantee the quality, legality, or performance of Provider services
7.3 User Verification Responsibility
You are solely responsible for:
- Independently verifying Provider credentials and qualifications
- Researching Provider background and reputation
- Reviewing Provider licenses, registrations, and compliance status
- Evaluating Provider suitability for your needs
- Negotiating terms and conditions directly with Providers
- All decisions to engage or transact with Providers
We provide tools and links to assist your research (SBA registry, state registries, complaint databases), but you must conduct your own due diligence.
7.4 No Financial Advice
VerSquare does not provide:
- Legal, financial, lending, tax, or accounting advice
- Opinions on the suitability of any Provider for your circumstances
- Guidance on lending products, terms, or conditions
You should consult qualified professionals (attorneys, accountants, financial advisors) for advice specific to your situation.
7.5 Provider Information Accuracy
While we strive to maintain accurate Provider information, we:
- Do not guarantee the accuracy, completeness, or currency of Provider profiles
- Are not responsible for errors or omissions in Provider information
- Rely on Providers to maintain accurate profile information
- May remove or modify Provider listings at our discretion
8. Content Moderation & Enforcement
8.1 Moderation Authority
VerSquare reserves the right, but has no obligation, to:
- Monitor, review, or moderate any Content
- Remove, modify, or refuse to publish any Content
- Investigate suspected violations of these Terms
- Take enforcement action against violating accounts
- Cooperate with law enforcement
Our decision to moderate or not moderate Content does not imply endorsement or liability.
8.2 Moderation Process
We employ a hybrid moderation approach:
Automated Systems:
- AI-powered fraud detection
- Pattern recognition algorithms
- Automated flagging of potentially violating content
Human Review:
- Review team evaluates flagged content
- Investigation of suspicious patterns
- Manual review for complex cases
User Flagging:
- Users may flag potentially violating content
- Flags trigger review process (see Section 8.3)
8.3 Flagging System
Valid Flagging Reasons
Users may flag Content for:
- Fake or fraudulent reviews
- Harmful or illegal content
- Privacy violations (personal information disclosure)
- Promotional or spam content
- Wrong Provider
- Defamatory content
- Other Terms violations
Invalid Flagging Reasons
Flags will not be honored for:
- Disagreement with Review sentiment
- Negative feedback alone
- Low ratings
Flagging Process
- Use the "Report" button on any Content
- Select the reason for flagging
- Provide additional details (optional but helpful)
- We will review and respond typically within 5-7 business days
- We may contact you for additional information
- We will communicate our decision
Flag Abuse
Do not abuse the flagging system. Consequences for flag abuse include:
- Warning
- Temporary suspension of flagging privileges
- Account suspension or termination (for egregious abuse)
8.4 Content Review Timeline
We strive to review flagged Content within:
- 24-48 hours for high-priority issues (harmful content, privacy violations, illegal activity)
- 5-7 business days for standard flags
- Longer for complex investigations requiring verification or legal review
8.5 Graduated Enforcement
We generally follow a graduated enforcement approach:
First Violation:
- Warning and education
- Content removal (if applicable)
Second Violation:
- Temporary account suspension (7-30 days)
- Content removal
Third Violation or Severe Single Violation:
- Permanent account termination
- Loss of all posted Content
- Potential legal action (for illegal activity, fraud, or severe abuse)
Exceptions:
- Severe violations (fraud, illegal activity, severe harassment) may result in immediate permanent termination without warning
8.6 Appeals Process
If your Content is removed or your account is suspended/terminated, you may appeal by:
- Emailing success@versquare.com within 30 days
- Providing your account information
- Explaining why you believe the decision was incorrect
- Providing supporting evidence
We will review appeals and respond within 10-14 business days. Our decision on appeals is final.
8.7 Preservation of Content
We may preserve removed Content in its original form with necessary redactions for:
- Legal compliance
- Fraud prevention and investigation
- Dispute resolution
- Evidence in legal proceedings
Preserved Content is not publicly visible but may be retained in our systems.
9. Provider Responses
9.1 Response Rights
Providers may post one public response per Review. Responses appear below the Review on the Provider's profile.
9.2 Response Guidelines
Provider responses must:
- Address the substance of the Review professionally
- Comply with all provisions of Section 5 (Prohibited Content)
- Not contain promotional or marketing content
- Not offer incentives or compensation to the reviewer
- Not request Review removal or modification
- Not include personal information of the reviewer or others
- Not threaten or harass the reviewer
- Maintain a professional and constructive tone
9.3 Response Removal
We may remove Provider responses that:
- Violate response guidelines
- Contain prohibited content
- Harass or threaten reviewers
- Are promotional in nature
9.4 No Review Removal Requests
Providers may not use responses to:
- Request Review removal
- Offer incentives for Review changes
- Threaten legal action
- Identify the reviewer
Providers wishing to contest a Review should use our formal dispute process (see Section 8.3 Flagging System).
10. Intellectual Property
10.1 Platform Ownership
VerSquare owns all intellectual property rights in the Platform, including but not limited to:
- Website design, layout, and user interface
- Software, code, algorithms, and systems
- VerSquare trademarks, logos, and branding
- Rating calculation methodologies
- Fraud detection systems
- "Platform Activity Data" (aggregate usage patterns and analytics)
Your use of the Platform does not grant you any ownership rights in these materials.
10.2 Platform Data
We own all Platform Activity Data, including:
- Aggregate and anonymized usage statistics
- Rating and ranking data
- Platform performance metrics
- Search and browsing patterns
- Analytical insights derived from platform use
This data does not include your personally identifiable Content.
10.3 Trademark Usage
You may not use VerSquare trademarks, logos, or branding without our prior written permission, except:
- Factual references to the Platform (e.g., "I found this provider on VerSquare")
- Nominative fair use as permitted by law
10.4 Provider Trademark Usage
Your Reviews may reference Provider names, trademarks, and branding for purposes of identification and commentary. This use constitutes nominative fair use.
Providers may not use VerSquare trademarks without permission, except for factual references.
10.5 DMCA Compliance
Infringement Notification
If you believe Content on the Platform infringes your copyright, please send a DMCA takedown notice to success@versquare.com.
Your notice must include:
- Identification of the copyrighted work
- Identification of the infringing material and its location on the Platform
- Your contact information
- A statement of good faith belief
- A statement that the information is accurate and you are authorized to act
- Your physical or electronic signature
Counter-Notification
If your Content was removed due to a DMCA notice and you believe the removal was mistaken or improper, you may send a counter-notification to the email above including:
- Identification of the removed material and its previous location
- A statement under penalty of perjury that the material was removed by mistake or misidentification
- Your name, address, phone number, and consent to jurisdiction
- Your physical or electronic signature
Repeat Infringer Policy
We will terminate accounts of repeat copyright infringers in accordance with the DMCA.
11. Third-Party Links & Services
11.1 Third-Party Links
The Platform may contain links to third-party websites, services, or resources, including Provider websites. These links are provided for convenience only.
We do not:
- Control or endorse third-party sites
- Guarantee their accuracy, safety, or legality
- Assume any responsibility for third-party content or practices
Your use of third-party sites is at your own risk and subject to their terms and privacy policies.
11.2 Provider Services
Any services, products, or transactions you obtain from Providers are governed by their own terms and conditions. We are not a party to and have no liability for:
- Provider services, products, or performance
- Terms, conditions, or pricing offered by Providers
- Disputes between you and Providers
- Provider business practices or conduct
- Lending decisions, loan terms, or financial outcomes
12. Disclaimers & Limitations of Liability
12.1 Platform Role & Immunity Under Section 230
VerSquare operates as a neutral platform for user-generated reviews and Provider information. Under Section 230 of the Communications Decency Act (47 U.S.C. § 230), VerSquare is an "interactive computer service," and user-generated Content—including Reviews, ratings, and comments—constitutes "information provided by another information content provider."
Accordingly:
- VerSquare is not the publisher or speaker of user-generated Content and shall not be treated as such under any federal or state law.
- Our good-faith content moderation activities—including reviewing, removing, labeling, restricting access to, or declining to publish Content we consider objectionable—do not alter our status as a platform or transform us into a publisher of that Content.
- We may moderate Content without assuming liability for Content we do not remove or for our moderation decisions.
The disclaimers and limitations set forth in this Section 12 supplement, and do not limit, any immunity or protection provided by Section 230 of the Communications Decency Act or any other applicable federal or state law.
Nothing in these Terms shall be construed to require VerSquare to remove, restrict, or take any action regarding any Content, or to waive any immunity or defense available under applicable law.
12.2 Service "As Is"
THE PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY, COMPLETENESS, OR RELIABILITY
- UNINTERRUPTED, SECURE, OR ERROR-FREE OPERATION
12.3 No Guarantee of Accuracy
We do not guarantee:
- The accuracy, completeness, or currency of any Content, including Reviews and Provider information
- That Provider information is up-to-date or correct
- That Reviews reflect current Provider performance
- That our verification processes are foolproof or comprehensive
- That our fraud detection systems identify all fake Reviews
12.4 No Guarantee of Availability
We do not guarantee:
- Continuous, uninterrupted Platform availability
- Error-free operation
- That defects will be corrected
- That the Platform is free from viruses or harmful components
- That your Content will be stored or backed up
12.5 User-Generated Content Disclaimer
We are not responsible for and do not endorse:
- User-generated Reviews, ratings, or comments
- The accuracy or reliability of any User Content
- Opinions expressed in Reviews
Reviews reflect individual user experiences and opinions only. They do not represent our views or endorsements.
12.6 Third-Party Content Disclaimer
We are not responsible for:
- Provider actions, omissions, or conduct
- Third-party websites or services
- Information provided by Providers
- Any harm resulting from third-party interactions
12.7 No Professional Advice
THE PLATFORM DOES NOT PROVIDE LEGAL, FINANCIAL, LENDING, TAX, OR ACCOUNTING ADVICE.
Nothing on the Platform constitutes professional advice or creates any professional relationship. You should consult qualified professionals for advice specific to your circumstances.
12.8 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, VERSQUARE'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE PLATFORM OR THESE TERMS IS LIMITED TO THE GREATER OF:
- $200 USD, OR
- THE AMOUNT YOU PAID TO VERSQUARE IN THE 12 MONTHS PRECEDING THE CLAIM (if any)
THIS LIMITATION APPLIES TO ALL CAUSES OF ACTION IN THE AGGREGATE, INCLUDING BUT NOT LIMITED TO:
- BREACH OF CONTRACT
- BREACH OF WARRANTY
- NEGLIGENCE
- STRICT LIABILITY
- MISREPRESENTATION
- ANY OTHER TORTS
- ANY OTHER CLAIMS
12.9 Exclusion of Consequential Damages
TO THE FULLEST EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, OR USE
- BUSINESS INTERRUPTION
- REPUTATIONAL HARM
- COST OF SUBSTITUTE SERVICES
THIS EXCLUSION APPLIES EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12.10 Force Majeure
We are not liable for any delay or failure to perform due to causes beyond our reasonable control, including but not limited to:
- Acts of God (natural disasters, epidemics)
- War, terrorism, civil unrest
- Government actions or regulations
- Internet or telecommunications failures
- Labor disputes
- Cyberattacks or hacking
12.11 Jurisdictional Limitations
Some jurisdictions do not allow certain warranty disclaimers or liability limitations. In such jurisdictions, the above limitations apply to the fullest extent permitted by law.
13. Indemnification
13.1 Your Indemnification Obligation
You agree to indemnify, defend, and hold harmless VerSquare, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:
- Your use or misuse of the Platform
- Your violation of these Terms
- Your violation of any law or regulation
- Your Content, including any claims that your Content infringes or violates third-party rights
- Your interactions with Providers or other Users
- Any fraudulent, illegal, or abusive conduct by you
- Your violation of third-party rights (intellectual property, privacy, publicity, etc.)
13.2 Defense and Settlement
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate fully with our defense of such claims.
You may not settle any claim subject to indemnification without our prior written consent.
14. Dispute Resolution
14.1 Governing Law
These Terms and any disputes arising out of or relating to these Terms, the Platform, or your use of our Services shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
14.2 Exclusive Jurisdiction and Venue
You agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or your use of our Services shall be resolved exclusively in the courts located in Fulton County, Georgia, or the United States District Court for the Northern District of Georgia, Atlanta Division.
You irrevocably:
- Submit to the exclusive personal jurisdiction of these courts for the purpose of litigating any such dispute
- Waive any objection to the laying of venue in such courts
- Waive any claim that such courts are an inconvenient forum
14.3 CLASS ACTION WAIVER
YOU AND VERSQUARE AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
You agree to waive any right to participate in a class action, private attorney general action, or consolidated or representative proceeding against VerSquare. Each party may bring claims against the other only in its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.
If any court determines that the class action waiver set forth in this section is void or unenforceable for any reason, or that a proceeding may proceed on a class basis, then the parties agree that they will not be entitled to seek any disputes on a class basis and shall instead resolve any such disputes in their individual capacities.
14.4 WAIVER OF JURY TRIAL
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND VERSQUARE EACH WAIVE THE RIGHT TO A JURY TRIAL IN ANY PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS, THE PLATFORM, OR YOUR USE OF OUR SERVICES.
This waiver applies to all claims, whether based in contract, tort, statute, or any other legal theory.
14.5 Limitation on Time to File Claims
Any cause of action or claim you may have arising out of or relating to these Terms or the Platform must be commenced within one (1) year after the cause of action accrues. Otherwise, such cause of action or claim is permanently barred.
14.6 Informal Resolution
Before initiating any litigation, you agree to first contact us at success@versquare.com to attempt to resolve the dispute informally. Provide:
- Your name and contact information
- Description of the dispute
- Your desired resolution
We will respond within 30 days. If the dispute is not resolved within 60 days, either party may proceed with formal litigation in accordance with Section 14.2.
14.7 Equitable Relief
Notwithstanding the foregoing, either party may seek temporary or preliminary injunctive relief in any court of competent jurisdiction to preserve the status quo or prevent irreparable harm, without first engaging in the informal resolution process.
14.8 Attorneys' Fees
In any litigation arising out of or relating to these Terms, the prevailing party shall be entitled to recover its reasonable attorneys' fees and costs from the non-prevailing party, in addition to any other relief to which such prevailing party may be entitled.
15. Termination & Suspension
15.1 Termination by You
You may terminate your account at any time by:
- Contacting us at success@versquare.com
Upon termination:
- Your access to the Platform will be immediately revoked
- Your account information will be deleted per our Privacy Policy
- Your published Reviews may remain visible (pseudonymized) unless you request specific deletion
15.2 Termination by VerSquare
We may suspend or terminate your account at any time, with or without notice, for:
- Violation of these Terms or our guidelines
- Fraudulent, illegal, or abusive conduct
- Posting fake or incentivized Reviews
- Repeated policy violations
- Abuse of Platform features or systems
- Any conduct we deem harmful to the Platform, Users, Providers, or VerSquare
- Any reason or no reason, at our sole discretion
15.3 Graduated Enforcement
We generally follow graduated enforcement (see Section 8.5), but reserve the right to immediately terminate accounts for severe violations without warning.
15.4 Effect of Termination
Upon termination:
- All licenses and rights granted to you terminate immediately
- You must cease all use of the Platform
- We may delete your Content or retain it as described in Section 8.7
- Provisions that by their nature should survive (Sections 4.2, 10, 12, 13, 14, 15.4, and 18) will survive termination
15.5 No Refunds
Termination does not entitle you to any refunds of fees paid (if applicable).
15.6 Data Retention Post-Termination
After account termination:
- Your personal information will be handled per our Privacy Policy
- Published Reviews may be retained (anonymized or pseudonymized)
- Data required for legal compliance, fraud prevention, or dispute resolution may be retained
15.7 Prohibition on Re-Registration
If your account is terminated for Terms violations, you may not create a new account without our express written permission.
16. Privacy & Data Protection
16.1 Privacy Policy
Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
By using the Platform, you consent to the practices described in the Privacy Policy.
16.2 Public vs. Private Data
Public Data (Visible to All):
- Your display name
- Your Reviews and ratings
- Review dates
- Any information you choose to include in your Reviews
Private Data (Not Shared with Providers or Public):
- Your email address
- Your IP address and device information
- Your verification documentation
- Your account password
- Your browsing and search history on the Platform
16.3 Provider Access Restrictions
Providers may see your:
- Public display name (unless anonymous)
- Review content, rating, and date
- Public profile information (if any)
Providers cannot see your:
- Email address or contact information
- IP address or device information
- Identity of flaggers (if you flag their responses)
- Private account information
16.4 Communications
By creating an account, you consent to receive:
- Transactional communications (account confirmations, security alerts, Terms updates) - required, cannot opt out
- Platform activity notifications (responses to your Reviews, moderation decisions) - can opt out in settings
- Marketing communications (newsletters, promotions) - opt-in only
You can manage your communication preferences in your account settings.
16.5 Data Security
While we implement reasonable security measures to protect your data, no system is 100% secure. You are responsible for:
- Maintaining the confidentiality of your password
- Not sharing your account credentials
- Reporting suspected unauthorized access immediately

17. Changes to Terms
17.1 Right to Modify
We reserve the right to modify these Terms at any time. When we make changes, we will:
- Update the "Last Updated" date at the top
- Notify you via email (if we have your email address)
- Display a notice on the Platform
- Provide advance notice for material changes (typically 30 days)
17.2 Acceptance of Changes
Your continued use of the Platform after changes become effective constitutes your acceptance of the modified Terms.
If you do not agree to the changes, you must stop using the Platform and may terminate your account.
17.3 Material Changes
For material changes that require consent (such as changes to arbitration terms or privacy practices requiring consent), we will seek your affirmative consent before the changes take effect.
18. General Provisions
18.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and VerSquare regarding the Platform.
These Terms supersede any prior agreements or understandings, whether written or oral.
18.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
18.3 No Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
Any waiver must be in writing and signed by an authorized representative of VerSquare.
18.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent.
We may assign these Terms or any rights hereunder without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.
18.5 Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights except as expressly stated.
18.6 Headings
Section headings are for convenience only and do not affect interpretation of these Terms.
18.7 Language
These Terms are drafted in English. Any translations are provided for convenience only. In the event of any conflict, the English version controls.
18.8 California Residents

18.9 Government Use
If you are a U.S. government entity, the Platform is a "Commercial Item" as defined in 48 C.F.R. § 2.101 and is provided with only the rights customarily provided to the public under these Terms.
18.10 Export Control
You may not use, export, or re-export the Platform or any Content except as authorized by U.S. law and the laws of the jurisdiction where the Platform was obtained.
You represent that you are not (a) located in a country subject to U.S. embargo or designated as a "terrorist supporting" country, or (b) on any U.S. government list of prohibited or restricted parties.

- You understand the limitations and disclaimers in these Terms
- You have been given an opportunity to consult with an attorney if desired
